Welcome to Ask Velma, LLC ("Ask Velma," "we," "our," or "us"). These Terms of Use ("Terms") govern your access to and use of our website located at www.ask-velma.com ("Website"), our client and virtual assistant portals, and all other services or content provided by Ask Velma in connection with our operations (collectively, the "Platform").

By accessing or using our Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use our Platform.

1. Use of the Platform

Ask Velma provides virtual assistant staffing and support solutions to clients in healthcare and other industries. Our Platform is intended for business use only and may be accessed by clients, prospective clients, contractors, and authorized representatives. You agree to:

  • Use the Platform only for lawful business purposes;
  • Provide accurate, current, and complete information when requested;
  • Maintain the confidentiality of your login credentials and account access;
  • Notify us immediately if you suspect unauthorized use of your account.

You must not:

  • Use the Platform to engage in fraudulent, deceptive, or unlawful activities;
  • Copy, modify, distribute, or create derivative works based on the Platform’s content without our permission;
  • Interfere with the operation or security of the Platform or any user’s access.

2. User Accounts

To access certain features of the Platform, you may be required to create an account. You are solely responsible for any activity that occurs under your account, whether or not authorized. Ask Velma reserves the right to suspend or terminate your access if we believe your use violates these Terms.

3. Client-Virtual Assistant Interactions

Clients and Virtual Assistants (VAs) agree to:

  • Maintain professionalism and mutual respect in all interactions;
  • Use secure communication channels as directed;
  • Abide by all applicable confidentiality, HIPAA, and data protection obligations.

Clients are responsible for ensuring their systems meet the compliance standards applicable to their industry (e.g., HIPAA for healthcare clients).

Ask Velma is not responsible for:

  • The accuracy or completeness of any content, instruction, or task communicated between client and VA;
  • Any outcomes resulting from client directives or the independent actions of VAs.

4. Confidentiality & Data Security

We take data privacy seriously. Clients and VAs are required to sign confidentiality agreements. All parties agree not to disclose or misuse any sensitive or proprietary information encountered through the Platform. Breach of these obligations may result in account suspension or termination and possible legal action.

5. Intellectual Property

All content on the Platform, including text, graphics, branding, training materials, and documentation, is the intellectual property of Ask Velma or its licensors. You may not use, reproduce, or distribute any part of our intellectual property without our prior written consent. Work product created by a VA for a client belongs to the client unless otherwise specified in writing.

6. Service Modifications

We reserve the right to change or discontinue any feature of the Platform at any time, with or without notice. We are not liable to you or any third party for any modifications, suspensions, or discontinuations of services.

7. Termination

We may suspend or terminate your access to the Platform at our sole discretion, with or without notice, for any reason, including breach of these Terms. Upon termination, your right to use the Platform will immediately cease, and you must delete any materials obtained through it.

8. Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranty of any kind. We do not guarantee that the Platform will be secure, error-free, or continuously available. We disclaim all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

To the fullest extent permitted by law, Ask Velma and its affiliates shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Platform. Our liability is limited to the amount paid by you, if any, for use of the Platform in the six (6) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Ask Velma, its officers, employees, contractors, and affiliates from any claims, damages, liabilities, and expenses arising out of your use of the Platform or your breach of these Terms.

11. Governing Law

These Terms shall be governed by and construed under the laws of the State of Texas, without regard to its conflict of law provisions. Any dispute shall be resolved in Harris County, Texas.

12. Changes to Terms

We reserve the right to revise these Terms at any time. When we do, we will update the “Effective Date” at the top of this page. Continued use of the Platform constitutes your acceptance of the updated Terms.
